Terms and Conditions Governing the GSC-EON Bank Credit Card “Transformers: Dark of the Moon ” Movie Sponsorship Campaign |

- Definition: In this terms and conditions, unless the context otherwise requires or unless expressly stated herein to the contrary, the following expressions shall have the following meanings:-

"Bank" means EON Bank Berhad, a company incorporated in Malaysia and having its registered office at 12th Floor, Menara EON Bank, 288, Jalan Raja Laut, 50350 Kuala Lumpur . |
| 1.2 |
"Campaign" means the GSC-EON Bank Credit Card "Transformers 3" Movie Sponsorship Campaign organised by the Bank where GSC Cardholder who spends Ringgit Malaysia Fifty (RM50.00) only in Retail Transaction is entitled to five (5) times entries while EBG Cardholder who spends Ringgit Malaysia (RM50) only in Retail Transaction is entitled to one (1) entry to participate in the Campaign to win the Campaign Prize; |

"Campaign Period" refers to the period during which the Campaign will be conducted, starting from 18th April 2011 to 15th June 2011 (both dates inclusive) or such date(s) as may be extended, shortened or modified by the Bank. |
| 1.4 |
"Cardholders" means the GSC Cardholders and the EBG Cardholders, and references to "Cardholder" shall mean each or any one of them. |
| 1.5 |
"Eligible Participant (s)" refer(s) to the person(s) set out in this terms and conditions who are eligible to participate in the Campaign. |
| 1.6 |
"EON Bank Group" means the entities which are existing now or in the future, owning, owned by or under common ownership either directly or indirectly or controlling, controlled by or under common control with EON Bank Berhad. |

"MasterCard" means MasterCard Worldwide of 2000 Purchase Street, Purchase, NY 105772509, USA which the Bank is a member institution and includes its successors-in-title and assigns. |
| 1.9 |
"VISA" means Visa International Services Association, an association incorporated in the State of Delaware, United States of America with its registered office at city of Wilmington, State of Delaware, United States of America of which the Bank is a member institution and includes its successors-in-title and assigns. |
| 1.10 |
"GSC Cardholder" means the individual named on the GSC Card , whether principal or supplementary, unless stated otherwise; |
| 1.11 |
"EBG Cardholder" means the individual named on the EBG Card, whether principal or supplementary, unless stated otherwise; |
| 1.12 |
"GSC Card" means the co-branded credit card issued by EON Bank Berhad with GSC's logo imprinted thereon and/or any other name, logo and/or trademark as may be determined by EON Bank Berhad from time to time, unless stated otherwise. |
| 1.13 |
"EBG Card" means the MasterCard or Visa credit card issued by EON Bank Behad, excluding the GSC Card. |
| 1.14 |
"GSC" means Golden Screen Cinemas managed and operated under the name of Golden
Screen Cinemas Sdn Bhd. |
| 1.15 |
"Retail Transaction" means any local or overseas retail offline or online posted transactions made with GSC Card or EBG Card, as the case may be (excluding cash withdrawal, standing instruction, balance transfer, "Call for Cash", "My Payment Plan", "Zero Interest Instalment Plan" and any fees and charges). |
- The Campaign is open to the following Cardholders:
- All new to the Bank and existing Principal GSC Cardholders;
- All new to the Bank and existing Principal EBG Cardholders; and
- Not applicable for Supplementary GSC and EBG Cardholders.
- Cardholders who have fulfilled the following conditions as determined by the Bank, are eligible to participate in the Campaign ("Eligible Participants"):-
- GSC Cardholder who spends in Retail Transaction of Ringgit Malaysia Fifty (RM50) and above during the Campaign Period is entitled to five (5) entries per RM50 interval to participate in the Campaign;
- EBG Cardholder who spends in Retail Transaction of Ringgit Malaysia Fifty (RM50) and above during the Campaign Period is entitled to one (1) entry per RM50 interval to participate in the Campaign.
- The following person(s) shall not be eligible to participate in the Campaign:-
- Eligible Participant or winner who has committed or is suspected of committing any fraudulent, wrongful or suspicious acts in relation to any of his/her credit and/or debit cards issued by the Bank or any account held with or facility granted by the Bank or is in breach of any of the terms and conditions governing the use of the Bank's products and/or services or is insolvent or an undischarged bankrupt or is subjected to any bankruptcy or insolvency proceedings; or
- Eligible Participant or winner whose account(s) held with the Bank has become delinquent or no longer has good credit standing; or
- Eligible Participant or winner whose credit and/or debit cards are involved or suspected of being involved in any fraudulent, wrongful or suspicious activity, or whose credit and/or debit cards have been blocked, suspended, cancelled or terminated for any reasons whatsoever; or
- Employees of the Bank or any entity within EON Bank Group, whether on permanent, contractual, full time or part time basis and their immediate family members; or
- Employees of any partners, representatives and/or agents (including external auditors, advertising and promotion agents) of the Bank who are directly or indirectly involved in the organization or conduct of the Contest and their immediate family members.
- Winners of the Campaign Prize(s) will be determined by Lucky Draw basis. Supplementary GSC Cardholder or EBG Cardholder will not be entitled to any Campaign Prize. In the event that the supplementary GSC Cardholder or EBG Cardholder is listed in the lucky draw results, the principal GSC Cardholder or EBG Cardholder, as the case may be, will stand a chance to win the Campaign Prize provided that he/she could answer correctly one (1) question posed by the Bank.
- Further to the clauses stipulated herein above, the following shall apply to the Lucky Draw:

One (1) Eligible Participant who must be Principal GSC Cardholder will be shortlisted for the Grand Prize, which will be determined on the Lucky Draw. The Lucky Draw will be based on the GSC Card’s number randomly pulled out by the system; |
| 6.2 |
One (1) Eligible Participant each who is either Principal GSC Cardholder or Principal EBG Cardholder will be shortlisted for the 1st Prize, 2nd Prize and the 100 Consolation Prizes respectively. All winners will be chosen from the Lucky Draw. The Lucky Draw will be based on the GSC Card’s or EBG Card’s number randomly pulled out by the system; |
| 6.3 |
The Bank’s appointed representative will then call the shortlisted Eligible Participant at the contact number(s) stated in the Bank’s record to inform on the successful selection. Should the shortlisted Eligible Participant fail to be contacted after three (3) attempts, the Bank reserves the right to do a second round of the Lucky Draw to determine the next shortlisted Eligible Participant; |
| 6.4 |
Each shortlisted Eligible Participant of the respective Grand Prize, 1st Prize, 2nd Prize and the Consolation Prize will have to answer correctly one (1) question from the Bank in order to win the Campaign Prize.

- Only Retail Transaction posted in the GSC Card account or EBG Card account will be used to qualify for the Campaign. Retail Transaction posted in the GSC Card account or EBG Card account before 12.00 am on 18th April 2011 or after 11.59 p.m. on 15th June 2011 shall not be taken into account to qualify for the Campaign. The Bank shall not be liable for any delay or failure in the transmission of Retail Transactions by any party which may result in the disqualification of the Retail Transaction during the Campaign Period for any reason whatsoever.
- The Campaign Prizes are subject to the following:
- Transformers Adrenaline Space Adventure package at Orlando, USA ("The Package")
- For two (2) adults (18 years and above) only;
- The Package includes flights, accommodation and meals as determined by the Package agency;
- Travel period is valid from 1st November 2011 to 30th June 2012 or from 1st November 2012 to 30th June 2013 only;
- Travel dates are subject to availability and change without prior notice;
- The Package is provided as described. Unless specified as included in the Package, winner will be responsible for all optional extra expenses relating to the Package;
- Winner will be bound by the terms and conditions as imposed by the Package agency;
- The Package is NOT exchangeable/transferable/refundable/redeemable for cash, credit or benefit in kind, in full or in part.
- 12” Gold Optimus Prime figurine, 12” Silver Bumblebee figurine, 12” Bronze Sentinel Prime figurine (each “Figurine”)
- Each winner is entitled to one Figurine only, as stated in the Campaign Prize;
- The Figurine is not for sale and is not exchangeable/transferable/refundable/redeemable for other figurine or character, or for cash, credit or benefit in kind, in full or in part.
- Cash Prize (“The Cash”)
- Winner is entitled to one time cash payment only, as stated in the Campaign Prize;
- The Cash will be credited into the winner’s GSC Card or EBG Card, and is not exchangeable/transferable/refundable/redeemable for physical cash, credit or benefit in kind, in full or in part.
- Winners of the "Transformers Dark of The Moon" in- season passes can redeem the season passes at any GSC nationwide. The season passes are not valid for Gold Class, Premiere Class and Twin Seats, Digital 3-D and Digital 2-D or such other seats or movies as determined by GSC from time to time, and are subject to such terms and conditions as may be imposed by GSC. The season passes are not for sale and are not exchangeable for cash, credit or benefit in kind, in full or in part.
- The Campaign Prize will be delivered within approximately eight (8) weeks (barring any unforeseen circumstances) from the end of the Campaign Period to the winners. Risks in the Campaign Prize pass to the winner upon delivery of the same to the carrier company appointed by the Bank for delivery to the winner.
- All proprietary rights in relation to the Campaign or the Campaign entries shall remain with and be vested in the Bank at all times.
- All terms and conditions governing the Bank’s products and services shall, whether repeated herein or not, be deemed incorporated into this terms and conditions. In the event of a conflict or discrepancy and such conflict or discrepancy relates to any matter, term or condition of the Campaign, then this terms and conditions shall prevail for the purposes of resolving such conflict or discrepancy.
- Failure to comply with any term or condition herein may result in disqualification from the Campaign at any stage or from receiving the Campaign Prize(s).
- The Bank reserves the right to disqualify any suspicious Campaign entries or eligible transactions at any stage of the Campaign.
- If a winner is found by the Bank to be in breach of any of the terms and conditions herein or to be ineligible or not qualified to participate in the Campaign pursuant to any provision contained in this terms and conditions, the winner shall be disqualified from receiving the Campaign Prize(s). If any Campaign Prize(s) has/have been paid, delivered or credited to the winner who is in breach of any of the terms and conditions herein, or is ineligible to participate in the Campaign or is disqualified from receiving the Campaign Prize(s), the Bank shall be entitled to claw back the Campaign Prize(s) from the winner in any manner the Bank thinks fit including without limitation, the right to debit the value of the Campaign Prize(s) from any account(s) that the winner has with the Bank by giving seven (7) days prior notice. The winner agrees to forthwith return or refund in full the Campaign Prize(s) to the Bank without any set-off, deduction or counter-claim.
- Campaign Prizes won are strictly not transferable or exchangeable for cash or credit or benefit-in-kind, in full or in part.
- Unless otherwise provided herein, winners will be notified by the Bank in any manner it deems appropriate at the last known contact particulars furnished to the Bank and as shown in the Bank’s records.
- The Bank shall not be responsible to the Eligible Participant, or the winner or any third party for all loss (including without limitation loss of opportunity and consequential loss flowing there from) and damages suffered in the event the telephone number and/or address stated in the Bank’s record is/are not current or correct or the Campaign Prize is not received by the winner or is confiscated from the winner for any reason whatsoever.
- The Bank shall not be liable in any manner whatsoever in the event of any:-
- error, delay or failure in transmission of information or evidence by and from MasterCard, VISA, merchant or any other party;
- error or poor line connection, poor reception of the communication systems, poor quality of coverage and other factors so determined by the Bank that may occur in contacting the Eligible Participant; and/or
- failure to contact the Eligible Participant for any reason, including but not limited to no reply, no connection or telephone number not in service which may result in a disqualification from the Campaign or from receiving the Campaign Prize.
- The Bank’s decision on all matters relating to the Campaign, including but not limited to the selection of winners shall be conclusive, final and binding. No further correspondence or dispute relating to the Bank’s decision shall be entertained.
- The Bank reserves the right at its absolute discretion at any time, by giving seven (7) days prior notice and without assigning any reason whatsoever, to:-
- vary, modify, change, delete or add to any of the terms and conditions herein;
- extend, shorten or modify the Campaign Period;
- suspend, cancel or terminate the Campaign;
- effect any adjustment, forfeiture or disqualification of the Campaign entries or the Campaign Prize(s) won; and/or
- replace the Campaign Prize(s) with any other Prize(s) of similar value
without being liable for any loss or damage however suffered or incurred by the Eligible Participant, winner or any third party.
- In addition and without prejudice to any provision contained herein, the Bank shall not be liable for any loss or damage suffered by the Eligible Participant, winner or any third party and the Eligible Participant, winner or any third party shall not be entitled to any claim or compensation against the Bank for any loss or damage howsoever and/or whatsoever suffered or incurred as a direct or indirect result of the Bank’s exercise of any of its rights reserved in this terms and conditions. For the purpose of this clause only, the word Bank shall include EON Bank Group and their respective directors, servants, employees and agents.
- By participating in the Campaign, the Eligible Participant agrees to be bound by:-
- this terms and conditions;
- the decision of the Bank in all matters relating to the Campaign;
- the terms and conditions governing the use of the Bank’s products and services; and
- the terms and conditions governing the use of the Campaign Prize(s).
- By participating in the Campaign, the Eligible Participant expressly consents for and authorises the Bank, sponsors, carrier companies, and such third parties/service providers engaged by the Bank for purposes of the Campaign to collect, process, use, publish and/or display materials or information of the Eligible Participant (including without limitation, the names, identification numbers, addresses, photographs, voices and images of the Eligible Participant and the Campaign Prize(s) won) for marketing, advertising, promotional and publicity purposes and such other purposes deem fit by the Bank (including without limitation, for direct marketing of the Bank’s and such third parties’ offers, promotions, products and services) in any form, means or manner it deems appropriate, without any compensation whatsoever. However, the Eligible Participant has an option to “opt out” from this by notifying the Bank, at any time, to that effect in writing.
- The winners may be required by the Bank to attend a prize presentation ceremony. The winner who fails to attend the prize presentation ceremony for any reason will be disqualified from receiving the Campaign Prize(s) and the Bank may at its sole and absolute discretion select the next shortlisted Eligible Participant.
- Any Campaign Prize(s) not collected or redeemed within the time period as may be specified by the Bank herein or from time to time will be forfeited and the Bank is not obliged to select another winner for the forfeited Campaign Prize(s).
- Campaign Prize(s) may be subjected to such terms and conditions and/or validity period as may be determined by the sponsors of the Campaign Prize(s) and is/are not within the control of the Bank. If the Campaign Prize(s) remain unused after the validity period, the Campaign Prize(s) will lapse and will not be replaced. Any dispute arising under the terms and conditions of the Campaign Prize(s) shall be settled directly by the winner with the sponsor. The Bank will bear no responsibility in investigating or resolving the winner’s dispute with the sponsor and neither will the Bank be responsible in replacing any Campaign Prize(s) as a result of such dispute.
- Upon deemed delivery of the Campaign Prize(s) to the winner, the Bank shall not be liable in any circumstances for any lost, defaced, torn, damaged, expired or stolen Campaign Prize(s). Any request for replacement of such lost, defaced, torn, damaged, expired or stolen Campaign Prize(s) will not be entertained by the Bank.
- Participation in the Campaign, attendance at the prize presentation ceremony and use of the Campaign Prize(s) is at the own costs and expense and risk of the Eligible Participant. The Eligible Participant shall assume full liability and responsibility in case of any liability, mishap, injury, damage, claim or accidents resulting there from. The Bank shall not be held liable for any of the aforesaid.
- This terms and conditions shall prevail over any provisions or representations contained in any promotional materials (including without limitation printed brochures, leaflets and/or flyers) advertising the Campaign.
- The Bank shall not be held liable in any manner whatsoever for any loss or damages howsoever arising in connection with the Campaign. Furthermore, the Bank shall not be liable for any default or delay in respect of the Campaign due to any act of God, war, riot, strike, terrorism, epidemic, lock-out, industrial action, fire, flood, drought, storm, computer glitch, loss of electricity or power for any length of time or any event beyond the reasonable control of the Bank.
- The Bank gives no representation or warranty in respect of the Campaign and the Campaign Prize(s). In particular, the Bank does not warrant that any of the Campaign Prize(s) is of merchantable quality and/or fit for any particular purpose and the Bank shall not be held responsible in any way whatsoever for any physical injury, death, damage, claims or loss or accident from usage of the Campaign Prize(s).
- To the fullest extent permitted by law, in no event shall the Bank or EON Bank Group or GSC or any of its officers, directors, servants, employees, representatives, sponsors and/or agents (including without limitation, any third party service providers that the Bank may engage for purposes of the Contest), be liable for any losses or damages (including without limitation, loss of income, opportunity, profits or goodwill and indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Campaign, even if the Bank has been advised of the possibility of such losses or damages in advance, and all such losses and damages are expressly excluded.
- The Eligible Participant and winner shall be personally responsible for obtaining such licences and approvals and payment of such taxes, rates, government fees or any other charges that may be levied against them under applicable laws or regulations, if any, in relation to the Campaign Prize(s) and/or Campaign. In addition, the Eligible Participant and winner shall be responsible for such incidental costs, fees and charges incurred in participating in the Campaign, receiving the Campaign Prize(s) and use, collection and/or redemption of the Campaign Prize(s) and the same shall be borne by the Eligible Participant and/or winner.
- This terms and conditions shall be deemed to be a contract made under the laws of Malaysia and shall for all purposes be governed by and construed in accordance with the laws of Malaysia and the participants hereby agree to submit to the non-exclusive jurisdiction of the Courts of Malaysia or the courts of such other competent jurisdiction as the Bank may in its sole discretion direct.
- By participating in the Campaign, the Eligible Participants agree and expressly consent for and authorize the Bank to disclose:-
- any information about or with regard to the Eligible Participant’s affairs and/or banking accounts (including Eligible Participant’s future banking accounts) with the Bank to any person(s)/company(ies) which are or which in future may be, within the Bank's subsidiaries, parent companies, related companies and associate companies and such person(s)/company(ies) shall also be entitled to make such disclosures amongst themselves. The disclosure can be for any purpose the Bank deems appropriate, including for marketing, advertising, promotional, cross-selling and publicity purposes. The Bank shall take reasonable care to ensure that such information shall remain confidential within the Bank and EON Bank Group. However, the Eligible Participant has an option to “opt out” from the disclosure relating to marketing, advertising, promotional, cross-selling and publicity purposes at any time by notifying the Bank to that effect in writing; and
- information relating to the Eligible Participant to GSC, the sponsors of the Campaign Prize(s), the Package agency, carrier companies and such third parties/service providers for purposes of the Campaign.
- Any notice to be given by the Bank pursuant to this terms and conditions may be given by placing a general notice in any one issue of a daily national newspaper or by posting a general notice in any of the Bank’s branch or its website or by incorporating the notice into the Bank’s statement sent periodically to the Eligible Participants, or in such other manner as deemed suitable by the Bank. Such notice shall take effect from the date set out in the notice and if no date is stated, will take effect from the date of the notice.
